For all intents and purposes they mean the same thing but to me "we need to chat" sounds a little less formal and more friendly whereas "we need to talk" reminds me something a boss says to an employee or when someone isn't happy with you or the situation.

I'd guess the same.
Something is not working for your partner (is my guess) and she wants to discuss it with you. DOESN'T mean you are heading for a break up but it could be.

They both literally ONLY mean "we need to chat/talk". It could be to talk about anything, not necessarily something negative.
