Dave has got it all pretty much right - DONT proclaim your undying love for her, be casual and breezy, although not so breezy to the extent that you sound like a jerk. If you are already friends invite her to the movies or something and then ask her. If you dont do this as soon as possible you will end up kicking yourself for all the missed opportunities you had and didnt use. Personally, when I was in the same situation, I went for it. Years later, I am now engaged. GO FOR IT DUDE! Best of Luck.

don't over do the emotional, mushy stuff with her. don't profess your un-dying love for her, and DONT explain your intense desire to undress her.
and don't be a typical 15 year old guy! :)
approach her in a neutral, comfortable and safe sort of environment. I.e away from teachers/other students/other people. I.e not at a cementary etc..
suggest something that she would like to do ... what is she into ? if u can, do something original, creative and cheap.
for a silly example .. say the girl likes making craft etc ... invite her around to your place to make crafts for a local charity sale.
oh...and also importantly .. be careful not to come across as horny, or after sex from her. be confident ... although rejection seems horrible, time passes. treat this as a learning experience .. it doesnt matter if u screw up this time, its all just experience.
by the way, if your'e thinking about sex, your'e body language will likely reflect it.
