Ok so you met last summer and you really started to like each other. But during this time did you ever tell her your true feelings for her?. She may well like you, but could have become despondant because you haven't asked her out, or told her how you feel. This is most likely why she is falling for another guy.
I think you have got to tell her your feelings, before she falls for this other guy, do it soon before its too late.

You're in your thirties, you should be assertive enough to be able to ask her where you stand here. Does she live far away from you? How do you know she's falling for someone else, has she told you? Have you ever actually asked her out on a date? Have you kissed her at all? How old is she?
