While it has nothing to do with fat becoming muscle, it would be possible, depending on your metabolism, to gain muscle mass at the same rate you lose fat. This is pretty improbable, however. You would have to drastically increase your food intake as you added muscle to keep up with the added energy burn. Obviously this isn't a good strategy to lose weight or get in shape, but you asked if it was possible.

Its about as possible as a lot of money showing up in your bank account without you doing anything.
It 'costs' your body a lot of maintain a large muscular frame. We have evolved to only have the amount of muscle we need to survive. Carrying around more means that your body needs more energy, which may not always be available.
If you want more muscle you got to show your body you need it by lifting progressively heavier weight. Your body will adapt.
Step 1 is realizing that you dont get anything in this life without expending some effort. Waiting around for something good to happen to you without effort is like being a loser waiting to win the lottery. You'll be King of the Chavs.

You need to do cardiovascular exercise (running, cycling, etc) to burn fat and you need to do weight-resistance exercise (lifting weights) to build large muscle tissue. I believe muscle burns something like ten times more energy than fat tissue does, so the more muscle you have the more energy you will naturally burn.If you are around 6 foot (183cm) your body mass index would say you were in the overweight category - which is only just a little heavier than being in the "ideal" category. A good, dedicated exercise routine would show results in 3 - 4 weeks and you'll be looking signifigantly different within 4 - 6 months. That's the best way to make long term improvements to your health, good luck! Also - if you replaced fat with muscle, you'd actually weight more, as muscle fibre ways a lot more than fat tissue does. It's why - generally - you can't really go by someones weight.
