Your question is really simple. You tell why you can't be together . Be honest with her. Don't tell her you love her and she is your soulmate. Way too hurtful!

That would depend on the reason why you can't be with her. If it's a matter of fact thing then she'll understand. If it's a BS reason that you have made up because you actually don't really love her, then she'll get angry with you, but eventually get over you.
But I can't picture any reason why you can not be with her, unless you're already married to someone else. But then that would be classified as a factual reason, and she'd understand.
